These Terms of Service ("Terms") govern access to and use of Alphabitx - the
messaging application, crypto-asset wallet, token swap (DEX), marketplace, reels
(including live streaming), news, and the business module for time and mileage
tracking ("Companies"), made available at web.alphabitx.xyz and
associated applications (the "Platform"). By creating an account or using the
Platform, you accept these Terms in full, including section 8 (sole responsibility
for your content and use) and section 10 (disclaimers and limitation of liability).
If you do not agree, you must not use the Platform.
1. Provider identification
The Platform is operated by the Alphabitx team ("we", "Alphabitx"). For any
question about these Terms, contact us at
[email protected].
2. Purpose and services
The Platform provides, in a modular way (some features may be disabled at certain times or for certain accounts):
Private and group messaging, with end-to-end encryption in most rooms;
A crypto-asset wallet, connected to an external wallet (e.g. browser) or generated internally in the app;
A peer-to-peer token exchange ("DEX") - swap, spot trading and liquidity pools;
A marketplace for buying and selling products between users, with payment held in escrow;
Short-form video content ("Reels"), including live streaming, and a news feed published by other users ("News");
A business module ("Companies") for time and mileage tracking, intended for teams the user themself invites to their workspace;
An invites and points system, which may lead to a future token allocation under terms disclosed on the Platform itself;
Bots and automated agents, including some based on third-party artificial intelligence (see section 10 regarding their limitations);
Complementary features (reactions, comments, invites, notifications).
Unless stated otherwise, all rules in these Terms - in particular sections 4 (Rules
of use), 8 (User content) and 10 (Disclaimers and limitation of liability) - apply
equally to all of the services above, without exception.
Alphabitx runs on the open Matrix protocol. Depending on server configuration, rooms
and messages may be replicated (federated) to other Matrix servers participating in
the same conversation - see the privacy policy for more detail.
3. Account and registration
To use the Platform you need to create an account with a username and password; an
email address is optional. You are responsible for keeping your credentials
confidential and for all activity carried out through your account. You must be at
least the minimum age required by the law of your country of residence to enter into
this contract (see section 10 regarding minors).
Your identifier (@user:server) is permanent and cannot be changed after
registration.
4. Rules of use
4.1 Zero tolerance: child sexual abuse, terrorism and drugs
Alphabitx has zero tolerance, without any exception, for:
Child sexual abuse material (CSAM) or any content of a paedophilic
nature - including images, videos, text, or any representation that
sexualizes, exposes or exploits minors, even if artificially generated or
altered. This is expressly prohibited under Directive 2011/93/EU on combating the
sexual abuse and sexual exploitation of children;
Terrorist content - that incites, promotes, finances, recruits
for, or in any way facilitates acts of terrorism, under Regulation (EU) 2021/784
on addressing the dissemination of terrorist content online;
Drug trafficking or promotion - sale, advertising, facilitation
or incitement of trafficking in narcotics and illegal substances, in any room,
message, Marketplace listing or DEX transaction.
Any content or account associated with these categories is removed and suspended
immediately, without prior notice and without any need for notification
(unlike the general procedure described in section 11), is reported to the
competent authorities (including, as applicable, law enforcement, Europol,
or specialized reporting hotlines such as the INHOPE network against child sexual
abuse material), and relevant data and records are preserved for cooperation with
criminal investigations, under applicable law and without prejudice to the privacy
safeguards described in our Privacy Policy.
4.2 Other rules of use
By using the Platform, you further commit not to:
Use the Platform for other unlawful purposes, including money laundering or fraud;
Post illegal, defamatory, hate-inciting content, or content that violates third-party rights;
Attempt to circumvent security measures, reverse-engineer, or interfere with the Platform's operation;
Use the marketplace or the DEX to sell illegal goods/assets or deceive other users;
Create fake or automated accounts (bots) without express authorization.
Violation of these rules may lead to suspension or termination of the account (section 11).
5. Wallet and digital assets
You can connect an external wallet (e.g. MetaMask) or create an internal wallet
directly in the app. When you create an internal wallet, the recovery phrase (seed
phrase) is generated and stored only on your device - Alphabitx
never has access to that phrase or to the private key, never transmits it to any
server, and has no way to recover it if you lose it.
You understand and agree that:
Blockchain transactions are, by nature, irreversible and public;
The value of crypto-assets is volatile and may be lost in whole or in part;
Alphabitx is not a financial institution, does not provide investment advice, and does not guarantee any return, liquidity or value of assets;
You are solely responsible for verifying destination addresses before confirming any transfer.
6. Token swap (DEX)
The token swap feature is a peer-to-peer technical intermediation service (swap, spot
trading, liquidity pools), executed through smart contracts. We do not guarantee the
availability of liquidity, the execution price, or the absence of risk of loss
(including "slippage" and smart-contract risk). Applicable fees are always shown
before you confirm any operation.
Depending on jurisdiction and transaction volume, crypto-asset exchange services may
be subject to Regulation (EU) 2023/1114 on markets in crypto-assets ("MiCA") or
equivalent national legislation.
7. Marketplace
The marketplace allows the purchase and sale of products directly between users.
Alphabitx acts only as a technical intermediary (including the escrow mechanism) and
is not a party to the purchase and sale contract between buyer and
seller, and is not responsible for the quality, legality, description or delivery of
listed products. In case of a dispute, either party may open a resolution request,
reviewed by an administrator, who decides whether to release or refund the payment
held.
If you purchased as a consumer resident in the European Union, you may still have
rights under Directive 2011/83/EU (consumer rights), to the extent applicable to a
transaction between private individuals.
8. User content and sole responsibility
You are the sole and exclusive party responsible for all content you post,
send or share on the Platform, and for all use you make of each service -
including, without limitation:
Messages, files and voice/video calls exchanged in private or group conversations;
Photos and videos you post, including Reels content and any live stream you start;
Articles, comments and reactions posted to the News feed;
Listings, product descriptions and communications made through the Marketplace;
Orders, swaps and any other operation you carry out through the wallet or the DEX;
Records, schedules and data entered into the Companies module, including on behalf of third parties you invited to your team.
This means, specifically, that Alphabitx does not review, does not validate
and is not responsible for the accuracy, legality, lawfulness or quality of
any content or operation generated by users before it is posted or executed.
Alphabitx acts, across all of the services above, as a neutral technical
intermediary providing the infrastructure (hosting, routing and display of
content generated by third parties), under the terms and with the liability
exemptions provided for hosting service providers in Regulation (EU) 2022/2065 (the
Digital Services Act, "DSA") and, subsidiarily, under national legislation
transposing Directive 2000/31/EC (e-commerce).
You retain all rights to the content you post. By posting content in public rooms
(Reels, News, Marketplace) or shared rooms, you grant us only a non-exclusive licence,
limited to what is necessary to store, route and display it to other users as part of
the Platform's normal operation - never for any other purpose. We may remove or
restrict access to content that violates these Terms or applicable law, and process
reports from other users or from authorities, within the terms and deadlines required
by the DSA.
If you post photos or videos that include third parties, it is you who guarantees
that you have obtained those persons' consent for publication - Alphabitx does not and
cannot verify that authorization in advance. If you post third-party content without
that authorization and it ends up leaked or improperly disclosed, responsibility is
exclusively yours, as already described in this section.
Likewise, any content posted in a room can be viewed, copied, photographed or
downloaded by anyone with access to it - Alphabitx has no responsibility
for what other users do with content after viewing or downloading it, including
copies, screenshots or redistribution outside the Platform. This is a risk inherent to
posting any content online, which you accept by doing so.
This does not mean we are indifferent: whenever we receive a report about
unauthorized third-party content in a public room, we assess the situation and, when
warranted, apply a penalty to the room and/or the responsible account (removal of
content, suspension or termination, under section 11), without this constituting an
admission of liability on our part for the content itself.
If your use of any service - including what you post or share - causes harm to third
parties or gives rise to a claim, legal action or sanction against Alphabitx, you
agree to indemnify us and hold us harmless for all reasonable resulting costs, damages
and expenses, to the extent permitted by law.
9. Intellectual property
The Alphabitx brand, logo and design are the property of the Alphabitx team. The code
of this application is derived, in part, from third-party software under open-source
licences (see the licence files distributed with the application). Nothing in these
Terms grants you the right to use the Alphabitx brand without prior written
authorization.
10. Disclaimers and limitation of liability
Use of the Platform and of each of its services is the sole responsibility of
the user. Without prejudice to what is already stated in section 8 regarding
posted content, this section applies across the board to messages, photos, videos,
Reels, live streams, news, Marketplace, wallet, DEX, Companies and any other current
or future service of the Platform: Alphabitx does not guarantee, does not validate and
assumes no responsibility for decisions, losses, posts or interactions between users.
The Platform is provided "as is" and "as available", with no guarantee of
uninterrupted availability, of being error-free, or of meeting the expectations of
any particular user. To the maximum extent permitted by applicable law, Alphabitx,
its administrators and collaborators are not liable for:
Indirect damages, lost profits, loss of data or business opportunity;
Loss, theft or misuse of digital assets, including those resulting from the loss of a recovery phrase (section 5) or sending to the wrong address;
Content, messages, live streams or conduct of other users, including offensive, illegal or misleading content;
Failures, unavailability or vulnerabilities of smart contracts, blockchain networks, or third-party services (e.g. external wallets, RPC providers) the Platform relies on;
Purchase, sale, swap or investment decisions made based on information made available by other users (including on the Marketplace, the DEX or the News feed);
Responses, suggestions or any content generated by bots, assistants or artificial intelligence agents made available on the Platform.
Artificial intelligence agents. Some bots and agents made available
on the Platform currently rely on third-party artificial intelligence models,
optimized through machine learning. By their nature, these systems may fail, be slow
to respond, or produce incorrect, outdated or invented responses ("hallucinations") -
even when presented with an appearance of certainty. The responses of these agents
do not constitute professional, financial, legal, medical or any other kind
of advice, must not be your sole basis for any decision - especially
decisions related to the wallet, the DEX or the Marketplace - and Alphabitx does not
guarantee or assume responsibility for their accuracy, suitability, or the
consequences of relying on them. Whenever you interact with one of these agents, you
are informed that you are interacting with an artificial intelligence system and not
with a person, under Regulation (EU) 2024/1689 on artificial intelligence.
This limitation does not apply where applicable law does not permit it (namely in
cases of wilful misconduct, gross negligence, or death and personal injury caused by
Alphabitx's negligence), nor does it affect the mandatory rights you may have as a
consumer resident in the European Union.
If you are under 18, use of the wallet, DEX and marketplace features requires
authorization and supervision from whoever holds parental responsibility, under
applicable law.
11. Suspension and termination
We may suspend or terminate your account in case of a breach of these Terms,
suspected fraud, or a legal obligation, notifying you whenever possible. You may
close your account at any time through Settings. Closing the account does not affect
blockchain transactions already executed, which are, by nature, irreversible.
12. Changes to the Terms
We may update these Terms to reflect changes to the Platform or to applicable
legislation. Material changes will be communicated through the Platform or by email,
with reasonable advance notice. Continued use after the changes take effect implies
acceptance of them.
13. Governing law and dispute resolution
These Terms are governed by the law of the country where the entity responsible for
the Platform has its registered seat, without prejudice to mandatory consumer
protection rules applicable in the user's country of residence, where the user is a
consumer in the European Union.
If you are a consumer resident in the EU, you may use the European Online Dispute
Resolution (ODR) platform at
ec.europa.eu/consumers/odr
to resolve any consumer disputes.
